How We Work

Every engagement follows a proven, transparent process so you always know what’s happening. Here’s how we will work together from our first meeting to the final closing:

1. Discovery & Goal Setting

We begin with an in-depth conversation to understand your goals, timeline, and any constraints. We’ll evaluate your company’s key value drivers and gather baseline financial and operational information. (What would a “win” look like for you? Taking care of employees? Maximizing cash at close? We define that first.)

2. Preparation & Positioning

Next, we roll up our sleeves to prepare your business for the market. We help organize your financials, address any potential due diligence issues early, and craft a compelling narrative for buyers. This includes creating a teaser and a detailed Confidential Information Memorandum (CIM) that tells your company’s story and highlights its strengths. You’ll review and approve all materials – nothing goes out without your sign-off.

3. Targeted Buyer Outreach

Using our industry research and network, we curate a list of qualified potential buyers – for example, relevant strategic companies and private equity firms that would see high value in your business. We then conduct a confidential outreach campaign, contacting each potential buyer under NDA to gauge interest. Our goal is to generate multiple offers while keeping your company’s identity and information protected until serious discussions are underway.

4. Negotiating Offers (LOIs)

As indications of interest and offers come in, we help you compare and negotiate them. We’ll line up the terms side by side (price, structure, your role post-sale, etc.) and negotiate on your behalf to improve them. By keeping multiple bidders in the mix, we maintain competitive tension to boost your leverage. In this stage, we guide you in selecting the best Letter of Intent (LOI) – not just the highest price, but the right overall deal for you and the company.

5. Due Diligence to Closing

After signing an LOI with your chosen partner, we project-manage the due diligence process through to closing. We coordinate with attorneys, accountants, and other advisors, organize the data room and document flow, and proactively tackle issues that arise (they always do). Our focus is on keeping the deal on track and advocating for you on deal terms all the way to the final closing. You can continue to focus on running your business while we drive the process forward. We’ll be by your side at closing and make sure everything is completed to your satisfaction – right down to the wire transfer hitting your account.
